Synergenix Sync, operated by Synergenix AI Private Limited. Please read before creating an account.

1. Acceptance

By creating an account or using Synergenix Sync (the "Service"), you agree to these Terms on behalf of yourself and, where applicable, the institution or provider you represent (collectively, "you"). If you do not agree, do not use the Service.

2. Data ownership and control

You (or your institution/provider) retain all ownership of and control over the files and data you upload ("Your Data"). Synergenix AI does not own Your Data. When you upload files, you give Synergenix AI the right to read Your Data in order to provide the Service to you. Synergenix AI accesses Your Data to operate the Service; it does not claim ownership of it.

The Service itself — including its software, platform, infrastructure, architecture, APIs, deployment systems, workflows, and any technical assets independently developed by Synergenix AI — remains the sole and exclusive property of Synergenix AI. Uploading data or using the Service does not transfer any rights in the Service to you.

3. Permitted use of Your Data

Synergenix AI will use its access to Your Data only to provide and maintain the Service to you, and as permitted by these Terms or any separate agreement between the parties. Synergenix AI will not sell, license, publish, or otherwise disclose Your Data to any third party without your prior approval or as required by applicable law. Any cross-border transfer, external processing, or third-party tooling used to operate the Service will be subject to appropriate safeguards.

4. Privacy and security

Your files are private to your account and are not shown to other users. Synergenix AI applies reasonable technical and organizational safeguards — including access control, encryption in transit and at rest, audit logging, and account isolation. Where the data is clinical or personal, you are responsible for ensuring it was collected, retained and shared in accordance with applicable law, institutional policy, ethics approvals and any patient-consent requirements, and for de-identifying or anonymising it where required before upload.

5. Confidentiality

Each party will keep confidential the non-public information it receives from the other through the Service and use it only for the purposes permitted here, except where disclosure is required by law.

6. Your responsibilities & acceptable use

You are responsible for the content you upload and confirm you have the right to upload and share it. The Service accepts files of any format. Do not upload unlawful, harmful, malicious, or infringing material, and do not use the Service in violation of applicable law.

7. Intended use & no medical advice

Synergenix Sync is a file storage and management service intended for research, analytics, records, and decision-support purposes. It does not by itself constitute medical diagnosis, prescription, treatment recommendation, or a substitute for qualified clinical judgment.

8. Use of name and logo

Neither party may use the other party's name, logo, or marks without prior written approval, and only in the form and context approved by that party.

9. Availability, warranties & liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind. To the extent permitted by law, Synergenix AI is not liable for inaccuracies in data you provide, or for loss, delay, or interruption arising from cybersecurity incidents, infrastructure failures, force majeure, or events beyond its reasonable control, provided reasonable mitigation efforts are made. Synergenix AI may modify, suspend, or discontinue the Service at any time.

10. Deletion and retention

You may delete your files at any time from your account. Deleted files are removed from active storage; short-lived backup copies may persist briefly before expiring. On account closure, Your Data will be deleted or returned as reasonably requested, subject to legal retention requirements.

11. Changes to these terms

These Terms may be updated from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to good-faith resolution efforts, the parties submit to the jurisdiction of the competent courts at Kolkata, West Bengal, India.

Where you and Synergenix AI have signed a separate written agreement (for example, a Memorandum of Understanding or Data-Sharing Agreement) covering data, IPR, confidentiality, or commercial terms, that agreement governs in case of any conflict with these Terms.
